Japan's Ministry of Health and Welfare will conduct research on so-called environmental hormones, agents such as dioxin that have been found more and more often in the atmosphere and even in sources such as breast milk, that are thought to interfere with mammalian reproduction and development.

The ministry will examine the level of these hormones in toys, tap water and the umbilical cord and compile a report by March with suggested measures to combat the detrimental effects of these agents.



U.S. Industries, Inc. (NYSE-USI) said today that, based upon current indications, it will report earnings per share from continuing operations for the third quarter, which ends July 3, 1998, in a range of $ .30 to $ .35. This is below the $ .45 reported in the prior fiscal year's third quarter before restatement for inclusion of Zurn Industries and prior to any non-recurring charges. For the full fiscal year, USI expects earnings per share from continuing operations and before non-recurring charges to exceed the $ 1.50 reported in the prior fiscal year but to fall short of its target of achieving minimum annual earnings per share growth of 15%. The prior fiscal year has not been restated for the inclusion of Zurn Industries. The Company's reduced expectations are predominately due to difficulties in its USI Diversified businesses, particularly in its Rexair vacuum cleaner and Ertl toys subsidiaries. At the vacuum cleaner operations, the recent changeover to a new model, though favorably received by distributors, has proven slower to implement than previously anticipated. Also, sales have been affected by the negative impact of the strong dollar on export sales, which account for approximately 60% of Rexair's vacuum cleaner sales. Toy sales and operating income have been negatively affected by reduced customer orders and unfavorable manufacturing costs.



Play-By-Play Toys & Novelties, Inc. (Nasdaq: PBYP) said today, based on current weakness in the U.S. Retail toy market, evidenced by Toys-R-Us' widely known decision to reduce inventory levels; Mattel's announcement of lower than expected sales during the first and second quarters, and continued sluggishness in the pre-school and large doll markets by the mass retailers, that the Company's retail sales may be off as much as 40% for the quarters ending July 31, 1998 and October 31, 1998. Play-By-Play said, however, that amusement and international sales continue to trend very positively, but cautioned that they may not be strong enough to fully offset the decline in retail sales during these quarters. In light of the weakness in the retail environment, the Company believes earnings per share for the fourth quarter ending July 31, 1998 will be in the range of $0.43 to $0.48 and approximately $0.15 to $0.20 below analysts' consensus estimates for the first quarter ending October 31, 1998.



Real Goods Trading Corp. (Chicago Stock Exchange:RGT)(NASDAQ:RGTC) announced today that Les Seely, 54, has been named chief financial officer and secretary of the company. Seely, most recently chief financial officer at Schurman Fine Papers, has had substantial experience at both public and private companies and within a major accounting firm. "It's great to have Les on board," Chief Executive Officer John Schaeffer said. "He brings a lot of relevant experience with him." "We are very glad Les decided to join Real Goods," said Real Goods President Ron Zell. "We expect him to be a key member of the new management team we are putting together to develop the Real Goods franchise," Zell added. "I've been a fan of Real Goods for years," Seely said. "I'm looking forward to working with John Schaeffer and Ron Zell to enhance Real Goods' position as the leading retailer of renewable energy and conservation supplies in the world." Seely graduated from the University of Colorado and has his MBA from the Wharton School of Business at the University of Pennsylvania. Following ten years with Arthur Young & Company (now Ernst & Young), he spent three years at an electronics company and seven years as chief financial officer of Dakin, Inc., a designer and manufacturer of plush stuffed toys, before joining Schurman Fine Papers, where sales grew by 500% in the seven years he was there.

Adrenalin Interactive Inc., (NASDAQ:ADRN) formerly Wanderlust Interactive Inc., announced today it has signed an exclusive two-year licensing agreement with Anglia Multimedia. Anglia will distribute Adrenalin's second title, The Pink Panther(tm) in Hokus Pokus Pink(tm) in the United Kingdom and Ireland. The Company will receive an advance royalty payment prior to the release of the game in September 1998. Along with Passport to Peril(tm), these two Pink Panther games have reached sales of over 100,000 copies and are licensed in 24 countries and in 15 different languages. Both games have also won several international awards. Pleasant is a direct marketer of the popular American Girl line of dolls, books, and accessories. The purchase expands Mattel's leading toy market position and provides a good strategic fit.

Hasbro Inc. (HAS) is consolidating its OddzOn Inc. facilities into a new 400,000-square-foot headquarters and warehouse facility located in the Napa Valley of northern California. OddzOn currently has offices in Bedford Heights, Ohio, along with Campbell and Petaluma, California. The new headquarters will allow OddzOn to operate more efficiently, Hasbro said in a Tuesday press release. Hasbro is a worldwide leader in the design, manufacture and marketing of toys, games, interactive software, puzzles and infant products. Both internationally and in the U.S., its Playskool(R), Kenner(R), Tonka(R), OddzON(R), Super Soaker(R), Milton Bradley(R), Parker Brothers(R), Tiger(TM) and Hasbro Interactive(TM) products, provide children and families with the highest quality and most recognizable toys and games in the world.

Scholastic Inc.'s (SCHL) Scholastic Entertainment formed strategic partnerships with Hasbro Inc. (HAS) and Columbia TriStar Home Video for video and toy licensing and merchandising of its Animorphs children's series property, which will be introduced in 1999. Scholastic said toy maker Hasbro will incorporate Animorphs as a new line in its Transformer brand. The toys will be available in toy and mass market stores beginning in the first quarter of 1999. Columbia TriStar plans an extensive video launch for the Animorphs series in 1999.

Hundreds of Irwin Toy Junior Shareholders were among the crowd who assembled at today's Annual Shareholder Meeting to hear president George Irwin discuss what was a bittersweet year for Irwin Toy. ``Year-end January 31st, 1998 was very disappointing for the company,'' said Irwin in his opening remarks. ``Our loss for the year was $1,015,000 compared to the year before of a profit of $1,249,000. Our sales decreased from $111,654,000 in fiscal 1997 to $103,658,000 in fiscal 1998.'' Irwin cited lower sales industry-wide in some traditional categories in which Irwin Toy markets products as a factor behind last years results. He also reviewed two strategic acquisitions made by the company in 1997 which impacted year-end figures. ``We did take some positive steps which created a loss in last year's numbers,'' explained Irwin, ``but will strengthen two key areas of our business in the future.''

Zindart Limited (NASDAQ/NMS: ZNDTY) today announced record sales and net income for its fiscal year ended March 31, 1998. These results mark the 15th year of record revenues and the 8th year of record net income. On a pro forma basis, net sales for fiscal 1998 increased 16.6% to $111.5 million from $95.6 million for fiscal 1997. On a pro forma basis, net income for fiscal 1998 increased 73.7% to $9.7 million, or to $1.30 per share, from $5.6 million, or from $0.97 per share, for fiscal 1997. Founded in 1978, Zindart produces and markets high-quality die-cast and injection-molded collectible products for consumer companies with strong global brands in the United States of America and Europe. In February 1998, the Company acquired Hua Yang, a producer of complex, high-quality books and specialty packaging. The Company's strategy calls for further penetration of the Western collectible markets by achieving greater critical mass and marketing presence in these distribution channels.

DSI Toys, Inc. (Nasdaq:DSIT) today reported financial results for the first quarter ended April 30, 1998. Net sales decreased 20% to $5.9 million, compared to net sales of $7.4 million in the first quarter ended April 30, 1996. Gross profit was $1.4 million, a 48% decrease from $2.7 million in the same period last year. Net loss was $645,000, or $0.11 per share, compared to last year's first quarter loss of $481,000, or $0.14 per share. The decreases in net sales and gross profits are primarily related to dolls. First quarter doll sales in 1998 were comprised solely of final close-outs of 1997 doll inventory. Due to the seasonality of the toy business, the Company expects to incur a loss in the first quarter of each fiscal year for the foreseeable future.

MicroProse, Inc. Toymax International, Inc. (Nasdaq National Market: TMAX) today reported financial results for its fourth quarter and fiscal year ended March 31, 1998. For the fourth quarter, the Company reported net income of $1.1 million, or $0.11 per share, versus net income of $2.4 million, or $0.32 per share in the comparable quarter of 1997. The decrease in net income is partially attributable to a tax provision of $0.5 million in the fourth quarter of fiscal 1998 versus a tax benefit of $0.4 million in the same quarter last year. Net income per share, on a comparable basis, was also affected by a 41% increase in the total number of weighted average shares of common stock outstanding to 10.6 million in fiscal 1998 from 7.5 million in fiscal 1997, as a result of the Company's initial public offering completed in October 1997.

Teletubbies(TM) are the international phenomenon based on the children's television series that has swept the globe. By August, most major toy and department retailers in the country will be carrying Teletubbies(TM) products.

Under the terms of an agreement with an initial value of (pound)500,000 ($800,000), interactive 3D software company, Superscape, is developing an innovative new product for LEGO Media International (LMI), which was previewed at the world-renowned E3 exhibition in the USA at the end of May, and will be on the shelves in time for Christmas. Entitled LEGO Creator, the new title is part of LEGO Media's LEGO Constructive range, and is based on LEGO SYSTEM Town. It provides children with their first opportunity to build, navigate, explore and play with 3D LEGO bricks in a PC-based virtual environment.

The Beanie Baby craze just got even crazier, as an AOL "chat" featuring a new software package exceeded all expectations. LA Times columnist Larry Magid, host of his own "show" on AOL, said response to the chat featuring Palladium Interactive's CD-ROM product, Ultimate Collector for Beanie Babies(R), was unprecedented -- and had to be extended from its scheduled 60 minutes to a full 90.

Declaring war on the sale of counterfeit software, California-based Electronic Arts(TM) (NASDAQ:ERTS), the world's largest entertainment software publisher, raided dozens of retail outlets in Singapore over the weekend and last week. The police efforts centered on the Sim Lim Square and Far East Plaza shopping arcades in Singapore where merchants were selling illegal copies of Electronic Arts' computer and video game software. Following a lengthy investigation by Electronic Arts (EA), the Singapore authorities conducted two raids over the weekend and EA conducted another series of 10 raids at the notorious shopping centers to seize more than 880 illegal games, including hundreds of copies of its newest hit title World Cup 98. Empire of Carolina (Amex: EMP) announced today that it has completed the acquisition of Apple Sports, Inc., and Apple Golf Shoes, Inc., and that the Company's shareholders approved each of the proposals presented at its annual meeting. The Company also reported that Steve Geller, Chief Executive Officer of Empire since 1994, announced his resignation during the shareholders' meeting and that the Board had unanimously appointed Timothy Moran as President and Chief Executive Officer. Mr. Moran had been the President and Chief Operating Officer of Empire and the President of Apple Sports, Inc., and Apple Golf Shoes, Inc. In his new position, Mr. Moran will be responsible for the day-to-day management and operation of Empire's golf, toy and holiday product businesses. Take-Two Interactive Software Inc. (TTWO) bought the assets of British software maker Spidersoft from a U.K. liquidator for an undisclosed amount of cash and liabilities. In a press release Monday, the company said it will rename the unit Tarantula, operating it as part of Take-Two's European division.

THQ Inc. (THQI) reached an agreement with Japanese video game developer Taito Corp. to publish G. Darius for Sony Corp.'s (SNE) Playstation video game system. G. Darius a shooting game from the Darius video game series.
