Terms of Use
ToyDirectory.com, Inc.
Covers toydirectory.com, TDmonthly (toydirectory.com/monthly/), PlayZak and our emails and newsletters.
Effective date: October 27, 2026
Last updated: October 27, 2026
Please read Section 20. It says most disputes will be settled by individual arbitration, not in court, and it waives class actions and jury trials. You can opt out of arbitration within 30 days by email.
1. About these terms
These Terms of Use ("Terms") are an agreement between you and ToyDirectory.com, Inc., a California company ("ToyDirectory," "we," "us"). They apply when you visit our websites, read TDmonthly, use PlayZak, get our emails, send us a wholesale price inquiry, buy a listing or ad, or send us anything (together, the "Services").
You accept these Terms when you check a box or click a button saying you agree, for example when you buy a plan, send an inquiry or sign up for a newsletter. If you use the Services for a company, you confirm you are allowed to accept these Terms for that company, and "you" includes the company.
Our Privacy Policy explains how we collect, use, share and sell information. Please read it. It is part of these Terms.
2. Who can use the Services
ToyDirectory has been a business-to-business toy and hobby directory since 1996. The Services are meant for adults and businesses: toy makers, wholesalers, distributors, retailers, buyers, media and adult gift shoppers. You must be at least 18 to buy anything, send an inquiry, sign up, or send us content. The Services are not directed to children under 13, and children should not send us personal information.
3. What we offer
- A directory of toy, game, hobby and gift companies, with company profiles and product information
- TDmonthly editorial content, gift guides, reviews, videos, Shorts, awards coverage and industry news
- Newsletters and other emails
- A way for retail and wholesale buyers to send wholesale price inquiries to toy makers listed with us
- Paid listings, advertising, sponsored content, press release posting and award entries
We can add, change, pause or remove any feature at any time. Some features may be unavailable or not working at times. We don't promise that any feature, including sign-in, accounts or any inquiry tool, will be available or work without errors.
4. Accounts
If we offer an account or sign-in, give us accurate information and keep your password private. You are responsible for what happens under your account. Tell us right away at [email protected] if you think someone used it without permission.
5. Wholesale price inquiries: for buyers
When you send a wholesale price inquiry, you ask us to pass your inquiry to the toy maker or makers you pick. By sending it, you agree that:
- An inquiry is not an order. It is a request for information. No sale happens until you and the maker agree on terms directly.
- The maker sets its own prices, minimums, terms and who it sells to. We don't set, negotiate or guarantee any price, product, stock, shipping or delivery.
- We are not a party to any deal. Any purchase is between you and the maker. We are not a seller, buyer, agent, broker or guarantor, and we are not responsible for what a maker does or doesn't do.
- We can't promise a reply. Makers decide whether and when to answer.
- What you send should be true. Give accurate business details, and send inquiries only for real business purposes.
- How we use your inquiry. We send your inquiry to the makers you choose and use your details as our Privacy Policy explains. We don't currently sell inquiry details to anyone else. If we start, we'll update our Privacy Policy first, and you can stop it at any time with "Do Not Sell or Share My Personal Information."
6. Wholesale price inquiries: for makers
If you receive buyer inquiries or buyer information through ToyDirectory, you agree to:
- Use buyer information only for business purposes that fit the context: answering the inquiry and related business follow-up with that buyer, and any other purpose we agree to in writing
- Not resell, rent or give buyer information to anyone else, and not add it to a list you sell
- Honor every opt-out right away, including any buyer request to stop contacting them or to stop using their information, and any opt-out we pass on to you
- Follow the CAN-SPAM Act and other email, telemarketing and privacy laws, including an accurate "From" line, a truthful subject, your postal address and a working unsubscribe in every marketing email
- Keep buyer information reasonably secure and use it under your own privacy policy
- Treat buyer information you receive from us under any separate data agreement we sign with you, which controls if it says something different
7. Paid listings and plans
We offer paid plans for companies, which may include a Starter listing, a "Starter listing with photos" plan (shown on the site as a "Paid listing"), a Verified Supplier plan and a Featured plan. What each plan includes and its current price are shown on our Get Listed page (toydirectory.com/getlist.asp) when you buy. "Featured" is the name of a paid plan. "Verified Supplier" means we checked that the company has a working website and confirmed the company by phone. It is not a safety, quality or legal-compliance certification of the company or its products. Paid placement is not an editorial endorsement.
We aim to make listings live within the time shown on the order page. We may decline or remove any listing that breaks these Terms.
8. Payment, renewal and cancellation
Payment. Prices are in U.S. dollars, plus any taxes. Payments are processed by PayPal (or another processor named at checkout) under its own terms. We don't receive or store your full card number.
Automatic renewal. Paid plans renew automatically until you cancel:
- Monthly plans (for example, the $29/month "Starter listing with photos" plan) renew every month through PayPal automatic payments. PayPal charges the plan price shown when you bought it each month until you cancel.
- Yearly plans renew every year unless you cancel, at the yearly price shown on our Get Listed page.
Before you pay, the order page shows these terms clearly next to the pay button: that the plan renews automatically until you cancel, how often it renews, the amount charged each time, and how to cancel. By checking the box and paying, you agree to the automatic renewal. After you buy, we send you an email confirming these terms and how to cancel. For yearly plans, we email you a reminder 15 to 45 days before each renewal, with the plan, the amount and how to cancel.
Price changes. If we change the price of a plan you already have, we'll email you 7 to 30 days before the new price applies and tell you how to cancel. If we make any other material change to a renewing plan, we'll tell you before it applies.
How to cancel online, any time. You can cancel online in any of these ways, with no phone call needed:
- Cancel the automatic payment in your PayPal account (Settings, Payments, Automatic payments), or
- Send the ready-made cancel email: Cancel my ToyDirectory plan. Just send it. You don't need to add anything else.
If you bought a yearly plan as a one-time payment, it does not renew automatically. We'll send you an invoice before it ends.
You can also cancel by phone at 424-272-6854 (leave a message, and we will process it or call you back within one business day). Cancelling stops future charges. Our guarantee: you can cancel anytime and get a full refund for the unused part of your subscription. Other one-time fees, such as press release posting, award entry fees or sponsored content that has already run, are not refundable once the work is done, unless the law says otherwise.
9. Your listing photos
Photos you send us for a paid listing stay yours. By sending them, you confirm that you own them or have the right to use them. That includes rights from any photographer you hired and from the owners of any licensed brands, logos or characters shown. You also confirm that you have a signed consent from a parent or guardian for every child pictured. You give ToyDirectory.com, Inc. a non-exclusive, royalty-free permission to store, resize and display the photos on your ToyDirectory listing and the pages where it appears, for as long as your paid plan is active. We'll change or remove any photo the same day you ask, and we take your uploaded photos down within 30 days after your plan ends. If someone says a photo, brand or likeness belongs to them, we may take it down while it's sorted out. If a photo you sent turns out to break someone else's rights, you agree to cover our reasonable costs from that claim. For listing photos, this section replaces any broader license elsewhere in these terms.
10. Product photos shown from makers' own websites
Some company listings show product images that load directly from the maker's own public website. We don't copy those images to our servers and we don't add logos. If you are the maker or rights owner and want an image changed or removed, email [email protected] with the page link. We will change or remove it the same day we get your request.
11. Content you send us
"Your Content" means anything you send, post, upload or email to us, except listing photos covered by Section 9. It includes company and product information, press releases, videos, comments, reviews, survey answers, inquiry messages, ideas and feedback.
You keep ownership of Your Content. You give ToyDirectory and the companies we work with a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable and sublicensable license to use, copy, store, edit, adapt, translate, publish, display, perform, distribute and make derivative works from Your Content, in any media now known or later developed. This includes using it in our websites, newsletters, videos, social media, advertising and promotion, and to develop and improve our products and services, including AI tools. You waive any "moral rights" in Your Content to the extent the law allows. We don't have to pay you, credit you or use Your Content, and we can remove it at any time. If you send us ideas or feedback, we may use them freely without paying you.
You confirm that you have all rights needed to give us this license, that Your Content is true and not misleading, and that it doesn't break anyone's rights or any law. Don't send us anything you consider confidential.
12. Sponsored content, ads, awards and affiliate links
- Sponsored content. Paid content is labeled "Sponsored" or "Ad." This includes paid press release posts, sponsored videos and paid placements in gift guides. The sponsor pays for placement. We don't let a sponsor buy a positive review.
- Press releases. Paid press release posts are written or supplied by the company and published as received or lightly edited. They are not TDmonthly editorial. The company is responsible for its claims.
- Awards. Some TDmonthly awards charge an entry fee. Entries are judged by independent toy store buyers. Paying an entry fee never guarantees a win or a place, and advertising with us doesn't help. The fee covers running the award and isn't refunded if your product doesn't win. Award details are on our advertising page.
- Reviews and testimonials. We don't create, buy or post fake reviews or testimonials, and we don't hide negative reviews we publish. Testimonials on our pages are from real customers.
- Affiliate links. Some pages contain links to Amazon and other stores. As an Amazon Associate we earn from qualifying purchases. We may earn a commission when you buy through a link, at no extra cost to you. Pages with these links say so near the links.
13. AI-assisted content
We use AI tools to help research, write, edit and translate some articles, product descriptions, emails and social posts, and some of our videos use an AI-generated voice-over. Videos with an AI voice are labeled where the platform allows. Some of our emails and chat replies may be written or sent with the help of automated tools. People at ToyDirectory review our published content, but AI output can contain mistakes. Product details come from makers and public sources, so please check details with the maker before you buy.
14. Rules for using the Services
You agree not to:
- Break any law or anyone's rights, or use the Services to defraud, mislead or harass anyone
- Scrape, copy in bulk, or harvest data or email addresses from the Services, or use bots, except search engines following our robots.txt
- Send spam or unwanted bulk messages, including to companies listed on our site
- Upload malware, probe or break our security, or overload the Services
- Pretend to be someone else, or post false company, product or safety information
- Resell or redistribute directory data without our written OK
15. Copyright complaints (DMCA notice)
We respect copyrights. If you believe material on the Services infringes your copyright, send a notice to our designated agent with: (1) your physical or electronic signature; (2) the copyrighted work you say is infringed; (3) the material you want removed and where it is (a link is best); (4) your contact details; (5) a statement that you believe in good faith the use is not authorized by the owner, its agent or the law; and (6) a statement that the notice is accurate and, under penalty of perjury, that you are the owner or authorized to act for the owner.
Designated agent: Copyright Agent, ToyDirectory.com, Inc., 12340 Santa Monica Blvd., Suite 237, Los Angeles, CA 90025, phone 424-272-6854, email [email protected].
If your material was removed and you believe that was a mistake, you can send a counter-notice to the same agent. We will end the accounts or listings of repeat infringers in appropriate cases.
16. Our content and trademarks
The Services and our own content are owned by ToyDirectory or its licensors and are protected by law. ToyDirectory, TDmonthly and PlayZak are our trademarks. Other names and logos belong to their owners. You may view and share links to our pages, and print a copy for your own business use. Don't copy, republish or sell our content without our written OK.
17. Links and other companies
The Services link to other websites, makers, stores and services, including PayPal, Amazon, YouTube and Substack. We don't control them and aren't responsible for their content, products, prices or privacy practices. Listings and product information come mostly from the companies themselves. We don't test toys for safety and don't guarantee that any product is safe, legal, in stock or as described. Check recall and safety information with the maker and at cpsc.gov.
18. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT THE LAW ALLOWS, WE MAKE NO WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DON'T PROMISE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT ANY LISTING, INQUIRY, AD OR EMAIL WILL PRODUCE LEADS, REPLIES OR SALES.
19. Limits on our liability
TO THE FULLEST EXTENT THE LAW ALLOWS: (A) WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR $100. These limits do not apply to liability that the law does not allow to be limited, such as for fraud, gross negligence, willful misconduct or personal injury caused by our negligence, and they don't take away rights you have under consumer laws that can't be waived.
Indemnity. If you use the Services for a business, or you send us content, listings, ads or photos, you agree to defend and cover ToyDirectory and its owners, staff and contractors against claims, losses and reasonable legal costs arising from your content, your products, your use of buyer or other personal information, or your breach of these Terms or the law.
20. Disputes and governing law
Governing law. California law governs these Terms and any dispute between you and us, without regard to conflict-of-law rules.
Try us first. Before starting a claim, please email [email protected] with a short description of the problem and what you want. We'll both try in good faith to resolve it within 30 days.
Arbitration. If we can't resolve it, you and we agree that any dispute arising from or relating to these Terms or the Services will be settled by binding individual arbitration, not in court, except as listed below.
- Who runs it. The American Arbitration Association (AAA) runs the arbitration under its Consumer Arbitration Rules if you use the Services for personal or household purposes, or under its Commercial Arbitration Rules if you use them for a business. If the AAA can't or won't handle it, JAMS will, under its comparable rules. The rules are at adr.org and jamsadr.com.
- Where and how. Hearings take place in Los Angeles County, California, or in the county where you live if you're a consumer, or by phone or video. Claims under $25,000 can be decided on written submissions unless the arbitrator decides a hearing is needed.
- Costs. For consumer claims, we'll pay all AAA or JAMS filing, administration and arbitrator fees beyond what you'd pay to file in court, unless the arbitrator finds your claim frivolous. Each side pays its own lawyers unless the law or the arbitrator says otherwise.
- Powers. The arbitrator can award the same individual relief a court could, including damages and individual injunctive relief, but only for the person bringing the claim.
Not covered by arbitration. Either of us may (1) bring an individual claim in small claims court if it qualifies; (2) go to court for an injunction to stop infringement or misuse of intellectual property; and (3) seek a temporary order in court to keep things as they are while an arbitration is pending.
Class-action and jury waiver. You and we may bring claims only individually, not as a plaintiff or class member in any class, collective or representative action, and we each give up the right to a jury trial for claims that go to arbitration.
Public injunctive relief. Nothing in these Terms waives your right to seek public injunctive relief (an order that protects the general public) under California law. Any request for public injunctive relief will be decided by a court in Los Angeles County after the individual claims are arbitrated, and the court case will be paused until then.
30-day opt-out. You can opt out of arbitration by emailing [email protected] with the subject "Arbitration opt-out" within 30 days after you first accept these Terms. Include your name, company (if any) and the email you use with us. Opting out doesn't affect any other part of these Terms.
Courts for everything else. Any dispute that isn't arbitrated (because you opted out, because it's excluded above, or because this arbitration section is found unenforceable for that claim) will be decided only in the state or federal courts in Los Angeles County, California, and you and we agree to those courts' jurisdiction. If the class-action waiver is found unenforceable for a claim, that claim goes to court, not arbitration.
Future changes. If we change this Section 20, the change won't apply to a dispute we already knew about before the change.
To the extent the law allows, any claim must be brought within one year after it arises.
21. Ending access
We may suspend or end your access, listing or account if you break these Terms, if the law requires it, or if we stop offering a Service. If we end a paid plan without cause, we will refund the unused part. Sections that by their nature should survive (such as licenses already granted, payment, disclaimers, liability limits, indemnity and disputes) continue after access ends.
22. Changes to these Terms
We may update these Terms. We'll post the new version with a new "Last updated" date. For material changes, we'll give at least 30 days' notice by email (if we have your email) or a notice on the site before the change takes effect for you. Changes apply going forward, not to disputes that arose before the change. If you keep using the Services after the change takes effect, you accept the new Terms. If you don't agree, stop using the Services and cancel any plan.
23. General
These Terms, plus any order page or written order you accept, are the whole agreement about the Services. If a written order conflicts with these Terms, the order controls for that purchase. If part of these Terms can't be enforced, the rest still applies. If we don't enforce a term right away, we can still enforce it later. You may not transfer these Terms without our OK. We may transfer them as part of a merger, sale or reorganization.
